Code of Conduct

 

1. Introduction

Xenics conducts its business practices with integrity, honesty, fair dealing and full compliance with all applicable laws. This Code of Conduct specifies and helps the continued implementation of the Corporate Business Principles by establishing certain nonnegotiable minimum standards of behaviour in key areas. We therefore expect that also our subcontractors and suppliers comply with our Code of Conduct as stipulated below.
In case an employee witnesses a behaviour that would infringe one or several of the principles listed in this document, it is expected that he or she reports his or her observations to an independent person.

 

2. Laws, Rules and Regulations

Xenics and its employees, subcontractors and executives (“Representatives”) are bound by the law. Compliance with all applicable laws and regulations must never be compromised. Additionally, Representatives shall adhere to internal rules and regulations as they apply in a given situation. Those internal rules are specific to Xenics and may go beyond what is required by the law.

 

3. Environment

Our suppliers and Representatives shall take measures to minimize the environmental impact and hazards and to improve environmental protection in their everyday operations.

 

4. Human Rights

We and our suppliers respect and comply with all fundamental rights granted to all employees under applicable national statute. Furthermore, we expect our suppliers to fully recognize the labour standards issued by the International Labour Organization (ILO), taking into due account the applicable laws and regulations in different countries and at different sites. These fundamental rights include but are not limited to the right to freely choose employment, prohibition of forced or child labour, prohibition of discrimination, right to collective bargaining and freedom of association.

 

5. Health and Safety

We expect our suppliers to ensure a safe working environment and therefore to comply with applicable national statute governing health and safety at work. Our suppliers are expected to take all necessary measures to ensure consumer safety and to ensure that his products will not be made of hazardous substance as defined in the EU Directive Restriction of Hazardous Substances.

 

6. Conflicts of Interest and Corruption

Our employees, representatives and suppliers shall avoid Conflicts of Interest whenever possible.
We expect our employees and suppliers to comply with all governing anti-corruption and antibribery laws and conventions.

 

7. Antitrust Laws and Fair Dealing

We expect our suppliers are prepared to compete successfully in today’s business environment and will always do so in full compliance with all applicable antitrust, competition and fair dealing laws.

 

8. Fraud

Our Representatives and suppliers must never engage in fraudulent or any other dishonest conduct involving the property or assets or the financial reporting and accounting of Xenics or any third party.
